Terms of Service

2.1. Age and Legal Capacity

Use of the Services is permitted only for persons who are at least 18 years of age and have full legal capacity. By using the Services, you represent that you meet this condition.

2.2. User Account

• Registration requires providing an active email address and creating a password.
• You bear full responsibility for the confidentiality of login data and all activities performed on your account.
• Sharing, reselling, or transferring account access to third parties is prohibited (account sharing is not allowed).
• You must immediately notify us of any unauthorized access to your account.

2.3. Technical Suspension

We reserve the right to temporarily suspend the Platform's operation for maintenance, update, or security purposes. In the case of planned downtime exceeding 2 hours, we will endeavor to notify Users in advance.

3.1. Functionality

Zora Labs provides a tool for automatic detection and cutting of valuable fragments (clips) from long video materials. The User:

• Uploads long video content to the system,
• Specifies the quality threshold/extraction parameters,
• Receives ready clips generated by AI algorithms.

3.2. Use of AI (Gemini API)

• The Service uses Gemini API (Google) to analyze video content and generate metadata/editing suggestions.
• The User understands that AI processing results may contain errors, imperfections, or inaccuracies.
• Zora Labs does not guarantee that generated clips will meet all User quality expectations.

3.3. No AI Results Guarantee

Due to the nature of machine learning and natural language processing:

• We do not guarantee 100% accuracy of detected fragments,
• We are not responsible for decisions made by the User based on AI-generated results,
• We recommend verifying generated clips before publication.

4.1. Payment Model

The Service operates on a subscription model with the following options:

• Monthly plans with automatic renewal,
• Free Trial period for selected plans,
• Tokens (packaged) as one-time purchases supplementing limits.

4.2. Merchant of Record (LemonSqueezy)

• Payments are handled by LemonSqueezy, Inc. acting as Merchant of Record.
• LemonSqueezy issues invoices/VAT invoices on behalf of and for Zora Labs.
• Transactions may be identified on bank statements as "LEMONSQUEEZY* ZORA LABS" or similar.
• Payment, refund, and card handling policy is subject to LemonSqueezy's terms, while Zora Labs retains responsibility for the quality of services provided.

4.3. Free Trial

• The basic plan offers a 7-day free trial period.
• Credit card details are required to activate the trial.
• Upon completion of the trial period, the subscription automatically converts to a paid one, unless the User cancels the subscription at least 24 hours before the trial ends.
• By accepting the trial, you consent to automatic card charging upon completion of the trial period in accordance with the selected plan.

4.4. Automatic Subscription Renewal

• Subscriptions renew automatically every month unless the User cancels the subscription through the account panel.
• Cancellation is possible at any time but remains in effect until the end of the paid billing period.
• We do not provide refunds for unused portions of the subscription period due to the nature of digital services and cloud infrastructure costs.

4.5. Tokens (Additional Units)

• Tokens can be purchased as one-time packages,
• Tokens do not expire for 12 months from purchase (unless the account is deleted or blocked),
• Tokens are non-refundable after purchase,
• In case of subscription cancellation, purchased tokens remain available for use for 12 months.

4.6. Plan Change

• The User may upgrade or downgrade the plan at any time.
• Upgrading to a higher plan results in immediate charging of the price difference (prorated charge).
• Downgrading to a lower plan takes effect with the next billing cycle.

5.1. Content Ownership

• The User retains full copyright and ownership rights to original video/audio materials uploaded to the Platform.
• Generated clips (fragments cut from the original) constitute derivative works of the original Content, to which the User retains rights, provided they have appropriate licenses for the source material.

5.2. Processing License

By uploading Content, the User grants Zora Labs a non-exclusive, global, royalty-free license to:

• Store, copy, and process Content for the purpose of providing Services,
• Analyze content using AI algorithms (including Gemini API),
• Generate clips and metadata,
• Temporarily host processing results for the period specified in the Plan.

5.3. User Legal Warranty

The User represents and warrants that:

• They possess all necessary copyrights, licenses, and consents to use video/audio materials (including rights to voices, images of third parties),
• Content does not infringe intellectual property rights, legal provisions, good morals, or third-party rights,
• They will not upload illegal, offensive content, content containing protected materials without permission, deepfakes used for misleading or harmful purposes.

5.4. Liability for AI Content

• The User bears full responsibility for the manner of using AI-generated clips, including publication and distribution.
• Zora Labs is not liable for AI-generated content if the User uses it in an unlawful manner (e.g., to create misleading deepfakes).

6.1. Storage Principles

• Original video files and generated clips are stored on Zora Labs servers for the period specified in the active Subscription Plan.
• The higher the Plan, the longer the data retention period (details in the Pricing).
• Upon Plan expiration or downgrade, data stored longer than allowed by the new retention period will be automatically deleted.

6.2. Security and Backups

• We recommend keeping your own local backups of original files.
• We do not guarantee uninterrupted access to stored files in case of technical failures, cyberattacks, or other force majeure events.
• In case of service discontinuation, the User will be notified 30 days in advance of the need to download data.

7.1. Withdrawal Right

If you are a consumer (a natural person acting for purposes unrelated to business or professional activity) located in the European Union or the United Kingdom, you have the right to withdraw from the distance contract within 14 days without giving reasons.

7.2. Digital Services Withdrawal Exclusion

In accordance with Article 16(1)(a) of Directive 2011/83/EU and applicable national provisions, you consent to immediate commencement of Service provision before the withdrawal period expires, which results in loss of the right to withdraw from the contract after full service provision.

7.3. Trial Exclusion

In the case of Free Trial, if you start using the Service before the expiry of 14 days, you lose the right to withdraw from the digital services contract, but retain the right to cancel the subscription before the first charge (in accordance with section 4.3).

8.1. "AS IS" Provision

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that:

• The Service will be free from errors, viruses, or interruptions,
• AI results will be 100% in line with expectations,
• Servers will be available uninterrupted 100% of the time.

8.2. Liability Limitation

To the maximum extent permitted by law:

• Zora Labs, its creators, employees, and partners are not liable for loss of profits, data loss, indirect or consequential damages,
• Zora Labs' total liability for all claims shall not exceed the amount paid by the User within the last 12 months.

8.3. Force Majeure

We are not liable for delays or inability to perform obligations resulting from circumstances beyond our control (external cloud provider failures, Gemini API outages, DDoS attacks, natural disasters).

9.1. Termination by User

You may cancel your subscription and delete your account at any time through the user panel or by contacting support.

9.2. Termination by Zora Labs

We reserve the right to immediately suspend or delete your account without refund in case of:

• Gross violation of these Terms,
• Uploading illegal content or content infringing third-party rights,
• Attempts to hack, bypass security, or abuse the API,
• Fraudulent activity or unauthorized access.

9.3. Consequences of Termination

Upon termination of cooperation or subscription cancellation:

• Access to the Service expires immediately or upon expiry of the paid period,
• All data and recordings associated with the account will be deleted in accordance with the retention policy (except data required by law to be stored),
• Tokens not used within 12 months of purchase expire.

10.1. Governing Law

These Terms are governed by Polish law, regardless of conflicts of international private law norms.

10.2. Jurisdiction

Any disputes arising from these Terms will be resolved by common courts competent for Zora Labs' registered office (Poland), unless applicable consumer law provisions allow jurisdiction of the courts of the consumer's country of residence.

10.3. Dispute Resolution

In case of disputes, we prefer amicable resolution through negotiation or mediation before initiating court proceedings.

11.1. Terms Changes

We reserve the right to change these Terms. We will notify you of changes via email or in-app notification 14 days in advance. Continuing to use the Service after the changes take effect constitutes acceptance of the new Terms.

11.2. Severability Clause

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in force.
